BoothScout Terms of Service

Effective date: November 12, 2025

Welcome to BoothScout ("BoothScout," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our software-as-a-service platform that helps vendors discover craft fairs, farmers markets, and other vendor events (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree, do not use the Service.

1) Who we are & how to contact us

BoothScout provides an event discovery platform with AI-powered recommendations. Questions about these Terms? Contact contact@boothscout.com.

2) Eligibility & account requirements

Business use

The Service is intended for vendors and small business owners. You must be at least 18 years old.

Account information

You must provide accurate and complete information (including a valid email) and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

One person, one login

Do not share passwords or allow others to access your account. Tell us immediately if you suspect unauthorized use.

  • Nationwide search (includes all Pro features)

Roadmap notice – email notifications (coming soon). References to "notifications" and "priority notifications" refer to an upcoming email-only notification feature. Until launch, notifications are not available. When launched, notifications will be delivered by email only; no in-app notifications are offered. Feature availability may vary by region.

We may introduce new features or modify plan features from time to time. Material changes to paid features will be communicated in advance.

4) Subscriptions, billing & refunds

Billing & processor

Paid plans are monthly, recurring subscriptions processed by Stripe. By subscribing, you authorize us (and our processor) to charge your payment method each billing cycle until you cancel.

Auto-renewal

Your subscription renews automatically each month on the same calendar day, or the last day of the month if necessary.

No refunds

All fees are non-refundable and non-creditable, including for partial months, downgrades, or unused time, except where required by law.

Cancellation

You can cancel anytime from your account settings; your plan remains active through the end of the current billing period. At that time, your account automatically downgrades to Free.

Upgrades/downgrades

Upgrades take effect immediately; we may prorate the first charge for the remainder of the billing period. Downgrades (including cancellation) take effect at the next renewal.

Taxes

Fees exclude taxes and duties, which you are responsible for paying where applicable.

Chargebacks

If you dispute a charge without a good-faith basis, we may suspend or terminate your account.

5) Use of the Service

5.1 Acceptable use (what you agree to)

You agree not to:

  • Scrape, crawl, or use bots, spiders, or automated means to access the Service or its data.
  • Reverse engineer, decompile, or attempt to derive source code or underlying data models.
  • Bypass, damage, or interfere with security or access controls.
  • Upload, post, or share content that is unlawful, infringing, misleading, or harmful.
  • Misrepresent your identity, business, or affiliation; submit fraudulent event listings; or impersonate others.
  • Use the Service to send unsolicited or harassing messages.
  • Copy, reproduce, or resell the Service or data except as expressly allowed by these Terms.

5.2 Your responsibilities

Accuracy. Provide accurate profile, business, and event information.

Verification. You are solely responsible for verifying event details, dates, locations, fees, terms, and vendor acceptance directly with organizers.

Compliance. Comply with all applicable laws, permits, and regulations (e.g., licensing, tax, health, and local market rules).

5.3 Our responsibilities

Event data. We curate and surface event information sourced from public listings and third parties.

Platform availability. We use commercially reasonable efforts to provide a reliable Service (see SLA below).

Billing. We process subscriptions and maintain accurate billing status.

Privacy & security. We implement reasonable safeguards to protect your data and handle it per our Privacy Policy.

5.4 Technical limits & rate limiting

We may implement and modify reasonable technical limits to protect the Service and data quality, including limits on requests per minute, concurrent sessions, data export volumes, and frequency of searches or listings. Attempting to bypass or interfere with these limits (including by rotating IPs, using headless browsers, or spoofing user agents) is prohibited and may result in throttling, temporary blocks, or suspension. If you anticipate legitimate high-volume needs, contact contact@boothscout.com.

6) User content & licenses

6.1 Definitions

"User Content" means content you submit to the Service (e.g., profile info, event listings, images, descriptions, tags, reviews, messages).

6.2 Your ownership; our license

You retain ownership of your User Content. You grant BoothScout a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, perform, distribute, and otherwise use your User Content solely to operate, improve, and promote the Service (including to surface your listings to other users and in marketing materials that describe our Service). You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.

We may remove or refuse to display any User Content we reasonably believe violates these Terms or the law.

6.3 Feedback

If you send ideas or suggestions, you grant us a perpetual, irrevocable license to use them without restriction or compensation.

7) Intellectual property

The Service, including software, interfaces, algorithms (including AI models), trademarks, logos, and content provided by BoothScout, is owned by BoothScout and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, we reserve all rights.

8) Event data & AI recommendations (important disclaimers)

Information only. BoothScout lists events and provides AI-powered recommendations for informational purposes only.

No organizer role. We do not organize, sponsor, or endorse events and are not a party to any transactions between you and event organizers.

No guarantees. We do not guarantee the accuracy, completeness, timeliness, or availability of event information; listings may come from third parties and may change or be canceled.

Vendor acceptance. We do not guarantee acceptance to any event or the outcome of your participation. You must contact organizers to confirm all details.

8.1 AI outputs & non-reliance

AI features may generate outputs that are inaccurate, incomplete, or context-insensitive. Outputs are provided for informational purposes only and do not constitute professional advice or decisions with legal or similarly significant effects. You are solely responsible for verifying event details and for any decisions or actions you take based on AI outputs.

9) Service Level & support

9.1 Availability target

For paid plans (Pro and Premiere), BoothScout targets 99.5% monthly uptime ("SLA Target"), excluding: (a) scheduled maintenance (we'll endeavor to give at least 48 hours' notice), (b) emergency maintenance, (c) outages caused by factors outside our reasonable control (e.g., internet or hosting provider issues, DDoS), (d) your or third-party acts or omissions, (e) beta/experimental features, and (f) Force Majeure (see Section 17).

Monthly Uptime % = (Total minutes − Downtime) / Total minutes × 100.

9.2 Service credits

If Monthly Uptime falls below the SLA Target for your paid plan month, you may request a service credit within 30 days after month-end by emailing contact@boothscout.com:

  • < 99.0%: 10% of that month's subscription fee
  • < 95.0%: 25% of that month's subscription fee

Credits are applied to future invoices and are the sole remedy for SLA claims. Credits do not apply to Free plans and will not exceed 100% of the month's fee.

9.3 Support

Email support during business hours (all plans). We strive to respond promptly but do not guarantee response times unless expressly stated in a separate agreement.

10) Third-party services

The Service integrates with third parties such as payment and hosting providers (e.g., Stripe, hosting/CDN, authentication/database). Your use of third-party services may be subject to their terms and privacy policies. We are not responsible for third-party services, data, or actions.

11) Privacy & security

Your use of the Service is also governed by our Privacy Policy, which explains what we collect and how we use and protect your information. You agree that we may process your information as described there. We implement commercially reasonable administrative, technical, and organizational measures appropriate to the nature of the data and our business. No method of transmission or storage is 100% secure.

11.1 Security incident notice

If we become aware of a breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to personal data on our systems, we will notify you without undue delay and provide information reasonably required for you to meet applicable legal obligations, subject to law enforcement or security needs.

12) Term; suspension; termination

By you. You may stop using the Service at any time and cancel your subscription as described in Section 4.

By us (cause). We may suspend or terminate your access immediately if you breach these Terms, create legal or security risk, fail to pay fees, or if we are required by law.

By us (convenience). We may terminate Free accounts for prolonged inactivity or discontinue the Service with reasonable notice where practicable.

Effect of termination. Upon termination, your right to access the Service stops. For paid plans, we may provide a limited window (e.g., 30 days) to export your data where technically feasible. Sections that by their nature should survive (e.g., payment obligations, IP, disclaimers, limitations of liability, dispute resolution) will survive termination.

13) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

14) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

No indirect damages. BOOTHSCOUT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF: (A) THE AMOUNTS YOU PAID TO BOOTHSCOUT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) $100.

Basis of bargain. These limitations are fundamental to the allocation of risk under these Terms.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

15) Indemnification

You will defend, indemnify, and hold harmless BoothScout and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service in violation of these Terms or law; or (c) your business activities, events you list, or interactions with event organizers or attendees.

16) Dispute resolution, arbitration & governing law

16.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by emailingcontact@boothscout.com with "Dispute" in the subject line and a brief description. If we cannot resolve it within 30 days, either party may proceed as below.

16.2 Binding arbitration & class action waiver (U.S. users)

If you reside in the United States, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, by video/telephone or in the county where you live, unless we agree otherwise.

Class action waiver: You and BoothScout waive the right to participate in class or representative actions and to a jury trial. Only individual claims may be brought.

Small claims exception: Either party may bring an individual action in small claims court.

30-day opt-out: You may opt out of arbitration within 30 days of creating your account by emailing contact@boothscout.com with your name, account email, and a clear statement that you opt out. Opting out does not affect other terms.

16.3 Governing law & venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and the Federal Arbitration Act for arbitrability. If arbitration does not apply, the exclusive venue for disputes will be the state or federal courts located in Delaware, and you consent to their jurisdiction.

16.4 Injunctive relief carve-out

Notwithstanding the arbitration clause, either party may seek temporary or injunctive relief in court to protect its intellectual property or Confidential Information.

16.5 International users

If your local law requires a different dispute mechanism or prohibits arbitration/class waivers, these provisions apply to the maximum extent permitted.

17) Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or hosting failures, third-party service outages, or power failures.

18) Changes to the Service or Terms

We may modify the Service, fees, and these Terms. If we make material changes (including to pricing or plan features that reduce functionality for paid users), we will provide reasonable advance notice by email or in-app. Changes take effect on the stated effective date. Your continued use after that date constitutes acceptance. If you do not agree, you must stop using the Service and, if applicable, cancel your subscription.

19) Miscellaneous

Entire agreement. These Terms, plus any order forms and our Privacy Policy, are the entire agreement between you and us.

Severability. If any provision is unenforceable, the remainder stays in effect.

Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

No waiver. Failure to enforce a provision is not a waiver.

Export & sanctions. You may not use the Service if you are located in an embargoed country or on a sanctions list.

Government rights. If used by U.S. Government, the Service is "commercial computer software" subject to restricted rights.

Publicity (logo use). We may use your name and logo to identify you as a customer on our site and in marketing materials; you may opt out at any time by emailing contact@boothscout.com.
